Limitation on Restricted Payments. A dividends, payments or distributions payable in Equity Interests other than Disqualified Stock of any Issuer; or. A any Restricted Subsidiary may consolidate with, merge into or wind up into, or sell, assign, transfer, lease, convey or otherwise dispose of all or substantially all of its properties or assets in one or more related transactions to any Issuer or any Restricted Subsidiary, and.
